END USER LICENSE AGREEMENT (EULA)

We are pleased to present the End User Terms of Service ("Terms") as a legal agreement between you and Stripe, the entity offering one or more products and services to you for personal use under these Terms. The End User Service includes applications, websites, and software.

These Terms are applicable to all of our End User Services that refer to them, including Links. However, it's important to note that Business Users who use our products and services for commercial purposes are subject to different terms.
We hope that these Terms clearly and concisely outline our agreement and that you find them helpful. If you have any questions or concerns, please do not hesitate to contact us.
Additional Terms

These End User Terms of Service ("Terms") include additional policies and terms that are integrated into them, covering your acceptance of terms and receipt of notices online, the processing of your personal data, and specific requirements for using certain End User Services. It is recommended that you read all of them before utilizing the End User Services.
The following policies and terms are applicable when accessing or using the End User Services and are included by reference in these Terms:

E-Sign Agreement
By agreeing to these Terms, you also agree to the E-Sign Agreement, which enables us to communicate with you electronically. Your electronic agreement is as legally binding as if you had signed in ink, and you consent to receiving notices through our End User Services.

Privacy Policy
You acknowledge and accept the Privacy Policy, which outlines how your information is collected, used, and shared concerning these End User Services. It is advised that you carefully review this policy.
We reserve the right to modify these Terms periodically. We will make reasonable efforts to notify you of significant changes to these Terms before they take effect. This can be achieved by posting a notice on the relevant End User Services or by providing notice via the email or physical address linked to your account. The revised Terms will be effective on the date specified in the revised Terms. By utilizing an End User Service after any changes become effective, you accept those changes. If you do not agree to the changes made to these Terms, you must discontinue using the End User Services.

Eligibility
​
To utilise the End User Services, you must meet specific minimum requirements. You must be of legal age to enter into a contract in your country of residence, and you must not be subject to any sanctions laws.
You can only agree to these Terms if you have reached the age of majority in your country, which is usually 18 years of age or older.
You cannot utilize the End User Services if you have previously been suspended or terminated from using any of our services, including any End User Service, or if you are subject to government sanctions, such as those imposed by the U.S. Office of Foreign Assets Control or the government in your country of residence.
To the extent that they are available in your country, you must be eligible for the specific End User Services. If we display an incorrect country for you, or if you move to a new country, you must update your account with the correct country information or contact support before using the End User Services again.

Identification and Security

In order to ensure security and prevent fraud, it is important for us to verify your identity and information you provide. You are responsible for any transactions that occur using your account credentials unless you notify us of unauthorized access or theft.
You agree to provide accurate and up-to-date information about yourself and your use of the End User Services. We may use cookies, technical solutions, and external sources to verify your identity and prevent fraud. We may also share your information with third parties, such as our business users or financial partners, to verify your identity or assess the likelihood of fraud.
If you become aware of any unauthorized use or access to your account, you must notify us immediately. You are responsible for any actions taken using your credentials unless you have informed us that they have been compromised.

Prohibited Conduct The End User Services are intended for personal use only, and you may not use them for any illegal or harmful activity that could harm us, our network, or others. You may not use the End User Services for commercial or business purposes or violate relevant sanctions authorities.

You may not create content, products, or services using any part of the End User Services, reproduce any part of the End User Services, or work around any technical limitations. You may not decompile, extract source code, or reverse engineer the End User Services or transfer software or technology to or from any country in a way that violates the law.

End User

In order to communicate with you about the End User Services, we may use various channels, including email, text (SMS) messages, push notifications, and phone calls. By providing us with your contact information, you agree to receive marketing and transactional communications from us or our service providers. You also agree that we may use autodialed or prerecorded calls or text messages to authenticate you, service your account, investigate fraud, and collect debts.
Our End User Services are protected by intellectual property laws, including trademark, copyright, and patent laws. You do not acquire any ownership rights in the End User Services by using them. We and our service providers reserve all intellectual property rights in the End User Services

You are responsible for any content, such as images and messages, that you provide or upload to the End User Services. By providing content, you grant us a non-exclusive, irrevocable, royalty-free, transferable, and worldwide license to use that content in connection with our End User Services. We may also use your content to create other products and services.

Receiving Feedback
​
We value your feedback and appreciate any ideas or suggestions you may have regarding our End User Services. However, submitting feedback is completely optional, and we have the right to use any feedback, ideas or suggestions you provide without compensation or obligation to you.

Termination
​
You may terminate your account at any time, and we reserve the right to cancel these Terms whenever necessary. We also reserve the right to suspend or modify your access to the End User Services, but we will attempt to notify you in advance unless it is impractical to do so.

We may terminate these Terms and restrict, suspend, modify or remove your access to any or all of the End User Services, including any feature or aspect, at our discretion and for any reason. We will take reasonable measures to inform you via email, the End User Services or the phone number associated with your account before we take any action that limits your access to the End User Services, unless legally prohibited or your use of the End User Services puts us or others at risk of loss or harm.
You may terminate any End User Service for any reason by closing your account or ending the specific service, as outlined here, except as outlined in any product-specific Terms. The termination will take effect on the date you close your account.

Effects of Termination
​
Upon termination, you will no longer have access to the End User Services, and any information you have submitted through the End User Services will no longer be available to you, except as required by law. Termination will not release you from any obligation to pay any outstanding amounts or indemnify us, and it will not revoke any third-party payment authorizations. Some provisions will survive termination, including those concerning intellectual property, feedback, end user content, disclaimer of warranties, limitation of liability, third party services, assignment and third-party beneficiaries, and miscellaneous. We will not be liable for any damages, loss or inconvenience, including delay, arising from termination.

Warranty Disclaimer
​
Although we strive to provide consistent and high-quality End User Services, we provide them as they are, without warranty. We do not promise that the End User Services will always work or that they will work as you expect. We are not responsible for any products or services purchased from others using the End User Services.

The End User
Services are provided "as-is" without any representation or warranty, either express or implied, including but not limited to, implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We, our affiliates, agents, contractors, and business users (collectively referred to as "Disclaiming Entities") do not guarantee or warrant that the End User Services will be error-free, secure or uninterrupted.
The Disclaiming Entities have no control over the products or services provided by third parties through the End User Services. We do not guarantee or imply that the products or services purchased using the End User Services will work as intended or are safe to use.

Some laws prohibit or limit disclaimers of the warranties referenced in this section or impose obligations on us that cannot be waived by these Terms. In such cases, this section will apply to the maximum extent permitted by law.

Liability Limitations
​
Please read this section carefully as it outlines the extent of our liability and the types of damages you can seek from us. In the event of any damages arising from the End User Services, we will not be liable for more than $200.
We will not be liable for any failure to perform our obligations under these Terms due to abnormal or unforeseeable events outside our reasonable control. These events include, but are not limited to, acts of terrorism, weather-related events, labor conditions, internet disturbances, or pandemics.

Furthermore, we will not be liable to you for any failure to perform our obligations under these Terms that would have resulted in our violation of applicable law. We will not be liable in any circumstances for any loss of business, goodwill, opportunity, or profit that we could not have reasonably anticipated. Subject to the specific product terms outlined below, our liability arising out of or in connection with these Terms will not exceed $200 USD. We and you agree that the disclaimer of warranties and limitations of liability stated above are essential to these Terms and that each party has relied on them in entering into this agreement. They will apply to the fullest extent permitted by law. Some laws may restrict our ability to disclaim or limit our liability. In such cases, this section will apply to the maximum extent allowable under the law.

Governing Law
​
If you have a complaint or dispute, we encourage you to contact us first. If you reside in the United States, any claim or dispute arising out of these Terms will be governed by California law, regardless of conflict of law principles. Both parties submit to exclusive personal jurisdiction and will bring all suits and actions under or in connection with these Terms exclusively in the federal courts of the Northern District of California and the state courts located in San Mateo County, California. If you reside outside the United States, the governing law is specified elsewhere.

Third-Party Services
​
The End User Services may provide access to or the ability to purchase products and services from businesses or persons unrelated to us. Such entities may have their own terms that you must read. As we do not control these businesses or individuals, we will not be responsible if any issues arise with their products or services.
Our End User Services allow you to purchase products or services from people, businesses, or entities that are not Stripe entities, employees, or agents.
You are responsible for any purchases you make, and any Business Users you choose to engage with are responsible for providing you with the goods or services you purchase. If you are not satisfied with your purchase, or if you wish to return, refund, or exchange your purchase, or if you have any questions or issues regarding your purchase, please contact the Business User. While we may display or link to Business Users' terms or policies with respect to returns, refunds, and exchanges, we are not responsible for their goods and services. The Business Users determine the content of those terms and policies, and we do not control or have any responsibility for their compliance with their terms and policies. If you believe that a Business User has not complied with its terms or policies, or any other obligation imposed by law, please contact the Business User directly.
To the fullest extent allowable under the law, we will not be responsible or liable for any loss you suffer in connection with your purchase or use of any third-party products or services.
Assignment and Third-Party Beneficiaries

You must not allow anyone else to take on your obligations under these Terms. We may allow a third party, including an affiliate, to enforce or assume our rights and obligations under these Terms, but only if that third party can competently perform these Terms.

We offer an End User Service that allows you to create a Link account or save your payment information for faster checkout at businesses that use our services. By using our End User Service, you agree to our Link Account Terms and the End User Terms of Service stated above.

When you allow us to remember your payment details, we will store your identifying information, such as your email address or mobile phone number (known as “Log-In Credentials”), and payment information like credit card, debit card, or bank account numbers (known as “Payment Account Details”). In addition, we may also store other payment information like your name, billing address, and shipping address. The benefit of this is that you can pay more easily and quickly with the same business user, as well as other eligible business users that we support - this is especially helpful when you’re on a mobile device or don’t have your payment details in front of you.

If you allow us to remember you, we or the business user will use cookies or similar technologies to connect your web browser or device to your Log-In Credentials, so we can recognize you when you visit that business user or another business user on the same browser or device. You can then make purchases using your saved Payment Account Details across our eligible business users when you are logged in with us on the same browser or device. If we can’t identify you (for example, if you’ve logged out of Link), we may offer a way for you to verify yourself (like by sending you a verification code via SMS text message) so that your stored Payment Account Details can be used.

You can only save Payment Account Details with us that you have the authority to use. This doesn’t alter your relationship with the business user. Also, your relationship with your payment method provider (for example, your bank or credit card company) remains unchanged. Removing a payment method from your Link account does not affect any outstanding obligations or amounts owed to a business user.
